Electronic Applications to the National Court Register (KRS) – How to Prepare?
Since July 2021, it is no longer possible to submit an application for registration or update data in the National Court Register (KRS) using paper forms. The only acceptable method for submitting applications to the KRS Register is in electronic form.
According to the Ministry of Justice, the introduction of the new system for submitting applications to the KRS will be easier and faster. The system will assist entrepreneurs in filling out individual fields. It will also not be possible to submit an application without providing all mandatory information.
Registration to KRS now exclusively online:
Since July 1, 2021, changes such as address updates, board member changes in capital companies, partner data updates, activity subjects (PKD codes), or company agreements are only possible using electronic applications. Applications are submitted via the S24 Portal for limited liability, general, and limited partnerships, and via the Judicial Registers Portal (PRS) for all companies.
IMPORTANT! For companies registered traditionally (paper) or in the PRS system, it is not possible to change their data using the S24 system. Additionally, changes cannot be submitted for companies established in S24 where previous changes were introduced in paper form or through the PRS portal.
How to submit an application to KRS online?
The application must include resolutions or their templates if the resolutions were adopted using S24, as well as other documents (e.g., power of attorney).
IMPORTANT! In the PRS system, notarial deeds are not attached. Instead, enter the “Notarial deed number in CREWAN” field with the notarial deed number found in the registration notification received from the notary.
The application can be signed in one of three ways:
- qualified electronic signature,
- trusted signature linked to the ePUAP mailbox,
- personal signature in an ID card containing an electronic signature certificate.
E-mail from the registration court:
Courts will issue decisions on the registration of entrepreneurs also in electronic form. These documents will be signed in a qualified manner and delivered directly to user accounts in the Judicial Registers Portal. Any deficiencies will also be supplemented exclusively online.
Paper KRS application – for whom?
The new regulations introduce exemptions for certain groups of entities. From July 1, 2021, voluntary choice of form for submitting KRS applications will be available to entrepreneurs registered in:
- the SPZOZ register,
- the foundations register,
- the associations register,
- the register of social and professional organizations.
KRS application fee:
- Application submitted via the PRS portal – 250 PLN,
- Application submitted online via S24 (applies to general partnerships, limited partnerships, and limited liability companies) – 200 PLN,
- Fee for publishing in the Judicial and Economic Monitor and the announcement of entry into the National Court Register – 100 PLN (regardless of the submission method).
Payments must be made directly through online banking. Without payment, the applicant will not be able to successfully submit the application to the appropriate registration court.
